By accessing or using the Martoo Tech Works website, services, courses, or software downloads, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access our services.

These terms constitute a legally binding agreement between you ("User" or "Client") and Martoo Tech Works ("Company," "we," "our," or "us"). By creating an account, making a purchase, or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

Throughout these Terms of Service, the following definitions apply:

• "Company," "we," "our," "us" – Refers to Martoo Tech Works, a Zambian registered business.
• "User," "Client," "you," "your" – Refers to the individual or entity using our services.
• "Services" – All professional services offered, including GIS mapping, STATA analysis, research support, academic assistance, and consulting.
• "Academy" – Our online learning platform offering courses, tutorials, and educational content.
• "Software Downloads" – Password-protected software packages including SPSS 16, STATA 14, QGIS, and related materials.
• "Website" – All web pages located at martootechworks.com and related domains.
• "Content" – All text, graphics, images, videos, course materials, and other information provided through our services.

To use our services, you must:

• Be at least 16 years of age (or have parental consent if under 16)
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information when creating an account
• Not be located in a country subject to Zambian or international sanctions
• Not be using our services for any illegal purposes

Account Creation

To access certain features of our services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Not share your password or account access with others
• Use a strong, unique password not used on other services
• Notify us immediately of any unauthorized use of your account
• Log out of your account at the end of each session

Martoo Tech Works offers the following professional services:

Service Delivery: Unless otherwise agreed, services are delivered electronically via email or through your account dashboard. Project timelines are estimates and not guaranteed unless explicitly stated in a written service agreement.

Course Access

Upon enrollment and payment, you receive a non-exclusive, non-transferable license to access and view the course content for your personal educational use. This license is for the duration of your access period as specified at purchase.

License Restrictions

You may not:

• Share your account credentials with others
• Download, copy, or distribute course videos or materials
• Sell, resell, or sublicense access to course content
• Use course content for commercial training purposes
• Remove copyright or proprietary notices from materials

Certificate of Completion

Upon successful completion of all course requirements, you may be eligible for a Certificate of Completion. Certificates are provided at our discretion and are not official academic credentials. We reserve the right to withhold certificates if course requirements are not met.

License & Copyright

Martoo Tech Works does not claim ownership of the software files themselves. SPSS is a trademark of IBM, STATA is a trademark of StataCorp, and QGIS is open-source software. You are responsible for ensuring your use complies with the respective software licenses.

Password Policy

Download passwords are provided for individual use only. You agree not to publicly share passwords or re-upload software files to public platforms. Violation of this policy may result in permanent suspension of download privileges.

Pricing

All prices are listed in Zambian Kwacha (ZMW) unless otherwise specified. We reserve the right to modify prices at any time, with changes effective upon posting to our website or notification to existing subscribers.

Payment Methods

We accept mobile money (Airtel Money, MTN Mobile Money), bank transfers, and cash payments for local clients. International clients may be offered alternative payment methods on a case-by-case basis.

Payment Terms

• Courses: Full payment is required before course access is granted.
• Services: A 50% deposit may be required for projects exceeding K500, with the balance due upon completion before final deliverables are released.
• Subscriptions: Billed in advance on a monthly or annual basis.
• Software Downloads: Payment is required before passwords are provided.

Taxes

You are responsible for all applicable taxes. If we are required to collect VAT or other taxes, these will be added to your invoice.

Late Payments

Late payments may result in suspension of services, course access, or download privileges. Repeated late payments may result in account termination.

Our Content

All content provided through our website, courses, and services, including but not limited to text, graphics, logos, icons, images, video lessons, course materials, and software (excluding third-party software downloads), is the property of Martoo Tech Works or our content creators and is protected by Zambian and international copyright laws.

Client Intellectual Property

Deliverables

Upon full payment, you receive a non-exclusive, perpetual license to use the deliverables created for you through our professional services (maps, analysis reports, edited documents). However, we retain the right to include the work in our portfolio unless otherwise agreed in writing.

By submitting content to our platform (including project files, research data, forum posts, or feedback), you grant us a non-exclusive, worldwide, royalty-free license to host, store, and process such content solely for the purpose of providing our services to you.

Your Responsibilities

You represent and warrant that:

• You own all rights to the content you submit or have obtained all necessary permissions
• Your content does not infringe any third-party intellectual property rights
• Your content does not violate any applicable laws or regulations
• Your content does not contain malicious code, viruses, or harmful components

You agree not to engage in any of the following prohibited activities:

• Academic Dishonesty: Submitting our work as your own without proper attribution, using our services to complete assignments that are intended to evaluate your own skills, or violating your institution's academic integrity policy.
• Unauthorized Sharing: Sharing account credentials, course materials, or download passwords with unauthorized users.
• Reverse Engineering: Attempting to decompile, reverse engineer, or extract source code from our platform or software.
• Abusive Behavior: Harassing, threatening, or abusing our staff or other users.
• Unauthorized Access: Attempting to gain unauthorized access to our systems or user accounts.
• Malicious Activity: Introducing viruses, worms, or other harmful code to our platform.
• Commercial Resale: Reselling our services or content without written authorization.

Termination by You

You may terminate your account at any time by contacting us or through your account settings. Termination does not relieve you of any payment obligations incurred prior to termination.

Termination by Us

We reserve the right to suspend or terminate your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these terms or is harmful to other users, our business, or third parties. Grounds for termination include, but are not limited to:

• Violation of any provision of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Abuse of our staff or other users
• Sharing passwords or copyrighted materials

Effect of Termination

Upon termination, your right to access our services and content will immediately cease. Any fees paid are non-refundable except as provided in our Refund Policy. Sections of these terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

No Guarantee of Results: We do not guarantee specific outcomes from use of our services, including but not limited to academic grades, research funding, publication acceptance, or job placement.

Accuracy of Information: While we strive to provide accurate and up-to-date information, we make no representations or warranties of any kind regarding the completeness, accuracy, reliability, suitability, or availability of any content on our website or through our services.

Third-Party Links: Our website may contain links to third-party websites. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites.

Total Liability: OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Martoo Tech Works, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of our services in violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit to our platform
• Your academic dishonesty or violation of your institution's policies

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Informal Resolution

Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at disputes@martootech.com. We will attempt to resolve the dispute through good-faith negotiations within 30 days of receiving your notice.

Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by the Zambia Association of Arbitration in accordance with its rules then in effect. The arbitration shall be conducted in Lusaka, Zambia, and judgment upon the award rendered may be entered in any court having jurisdiction thereof.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and not as part of any class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms of Service at any time. If we make material changes, we will notify you by email (if you have an account) or through a prominent notice on our website prior to the change becoming effective.

Your continued use of our services after the effective date of any modified Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of our services and cancel any subscriptions.
